How do you avoid becoming KRA's Withholding VAT Agent?
A few days ago, I saw traders asking the opposite question:
“KRA has appointed us as withholding agents. How do we get out?”
That got me thinking.
The short answer?
You can't simply opt out if KRA appoints you.
Under Section 42A of the Tax Procedures Act, the Commissioner has the power to appoint a person as a Withholding VAT Agent. KRA's guidelines don't give businesses a simple checklist of “do this and you won't be appointed.”
So what can you actually do?
First, understand your VAT position.
The current VAT registration threshold is KSh 5 million in annual taxable supplies. Businesses below that threshold aren't required to register for VAT, although voluntary registration is possible.
KRA's WHVAT guidelines also state that withholding VAT does not apply to payments for taxable supplies made by non-VAT-registered persons.
But don't confuse that with an “opt-out” from being appointed.
If KRA appoints you as a WHVAT Agent, the obligation is statutory.
You can't simply tell KRA:
“Thanks, but no thanks.” 😅
And if you're already appointed, there is a formal route to seek revocation.
KRA's current guidelines allow appointed agents to apply for revocation in circumstances including:
👉 The business has ceased operations and can provide the required deregistration evidence.
👉 Purchases and sales requiring electronic tax invoices have achieved 100% TIMS/eTIMS compliance for at least six consecutive months.
👉 Certain public bodies or privileged institutions qualify and are not carrying on business.
But here's the part you really need to remember:
Applying for revocation does not mean you can stop withholding.
You continue operating as a WHVAT Agent until KRA formally revokes the appointment and issues the Withholding VAT Agent Cancellation Notice. The revocation takes effect from the date stated on that notice.
So if that appointment lands on your iTax profile:
Don't panic.
Don't ignore it.
Check your status.
Understand what the appointment means.
And if you believe you qualify for revocation, follow the formal process.
